Legendary Accounting Seed Terms

1. Applicability

These terms apply to Accounting Seed subscriptions and onboarding services resold by Legendary under an Accounting Seed Schedule or order document that cites this page. The Legendary Master Terms also apply.

2. Governing Terms

Customer's use of Accounting Seed products is governed in all cases by the Accounting Seed Financial Suite Master Subscription Agreement, published at accountingseed.com/legal and incorporated into Customer's order by this reference. Customer's execution of an Accounting Seed Schedule constitutes acceptance of that agreement. The only warranties for Accounting Seed products are those given by Accounting Seed in its own agreements; Legendary makes no separate warranty for Accounting Seed products and makes no representations about Accounting Seed features or capabilities beyond Accounting Seed's own documentation.

3. Reseller Role and Support

Legendary resells Accounting Seed subscriptions and provides first-line support for them. Issues Legendary cannot resolve are escalated by Legendary to Accounting Seed. Customer will direct Accounting Seed support requests to Legendary.

4. Pricing and Annual Escalator

Prices for Accounting Seed items are stated on the Accounting Seed Schedule. Accounting Seed subscription fees increase 7 percent at each contract renewal date under Accounting Seed's standard terms, and this increase is passed through on the Schedule items at each renewal.

5. Renewal, Cancellation, and Reductions

Accounting Seed subscriptions automatically renew on each anniversary of the Accounting Seed contract start date. Requests to cancel a subscription or reduce licenses for the next subscription period must reach Legendary in writing at least 100 days before the renewal date, so that Legendary can complete Accounting Seed's required cancellation process within Accounting Seed's 90 day pre-renewal window. Requests received later take effect at the following renewal, and fees remain due through that date. There are no refunds or credits for subscriptions or licenses canceled or removed during a current subscription period, including licenses never used.

6. Adding Licenses

Licenses and products may be added at any time and are billed on a prorated basis through the current subscription period, renewing automatically at the next renewal date unless reduced under Section 5.

7. Onboarding and Consulting Hours

Fees for Accounting Seed onboarding and consulting services are not refundable. Hours must be used within 12 months of purchase; unused hours expire and are not eligible for refunds or credits. All sales of Accounting Seed licenses and consulting are final.

8. Transaction Volume

Accounting Seed subscriptions include a defined transaction volume. If Customer's transaction volume consistently exceeds the volume included in its subscription, pricing is adjusted per Accounting Seed's then-current price list, and the adjustment is passed through on the Schedule.

9. Renewal Alignment and Invoicing

The Accounting Seed Schedule renews on the Accounting Seed contract anniversary, which may differ from the renewal date of Customer's License Schedule with Legendary. When the dates are not aligned, Accounting Seed items are invoiced separately.
