Legendary Payments Terms

1. Applicability

These Payments Terms apply to subscriptions to Legendary Payments ordered under a Payments Schedule or order document that cites this page. The Legendary Master Terms, the Legendary Tipalti Terms (/legal/tipalti-terms/), and the Legendary SFDC ISV Terms (/legal/sfdc-isv-terms/) also apply.

2. The Service

Legendary Payments is a payment automation application that enables Customer to manage outbound payment processing, including payee onboarding, payment creation, batch payment submission, and payment status tracking, from within Customer's Salesforce org. Payment transactions are processed by Tipalti, a third-party payment provider, under Customer's own agreement with Tipalti.

3. Activation Condition

Effectiveness of the recurring items on a Payments Schedule is conditioned on Customer's execution of its Tipalti Order Form and completion of Tipalti onboarding, including Tipalti's identity verification and compliance requirements. Implementation fees are due as invoiced regardless of the date onboarding completes.

4. Authorization

Customer authorizes Legendary to manage Customer's Tipalti account and to issue payment instructions on Customer's behalf as directed by Customer through the application. Customer is responsible for all payment instructions issued through its account and for maintaining its own approval workflows and controls over who within Customer's organization can initiate and approve payments.

5. Funds Origination

All payment funds originate from Customer's accounts. Legendary never holds, controls, or transmits Customer funds, and Legendary is not a bank, money transmitter, or money services business.

6. Fees

a. Application fees. Customer pays the Legendary Payments user license fees stated on the Payments Schedule, subject to the stated user minimum.
b. Tipalti subscription recovery. The Tipalti subscription recovery item on the Payments Schedule is recovery of third-party provider fees incurred by Legendary for Customer's account. It is not a fee for the Legendary Payments application. Legendary may adjust the recovery amount at renewal to reflect changes in Tipalti's fees to Legendary.
c. Transaction fees. Customer pays Tipalti transaction fees directly to Tipalti under Customer's own Tipalti Order Form, which governs those fees and the applicable rate card.

7. Customer Responsibilities

Customer is responsible for: the accuracy of payee information, payment amounts, and supporting data submitted through the application; compliance with laws applicable to its payments and payees, including sanctions, anti-money-laundering, and tax reporting obligations; and the security of credentials used to access the application and the Tipalti account.

8. Indemnity

In addition to the indemnity in the Master Terms, Customer will indemnify and hold Legendary harmless from losses arising from Customer's payment instructions, disputes between Customer and its suppliers or payees, and misuse of Customer credentials.

9. Suspension

If Tipalti suspends or terminates Customer's Tipalti account, or Customer's Tipalti Order Form lapses, the payment processing functions of the application are unavailable for the duration. Fees under the Payments Schedule remain due. Legendary will reasonably assist Customer in restoring service with Tipalti.

10. Support

Customer will direct all support requests for Legendary Payments to Legendary. Legendary coordinates with Tipalti on issues within Tipalti's service.
