Legendary Supply Chain Terms

1. Applicability
These Supply Chain Terms apply to subscriptions to the Legendary Supply Chain application ordered under a License Schedule or order document that cites this page. The Legendary Master Terms also apply.
2. License Grant and Scope
Legendary grants Customer a non-exclusive, non-transferable subscription right for each user identified on the License Schedule to access and use the Legendary Supply Chain application for Customer's internal business purposes during the subscription term. Subscriptions are per named user and may not be shared. A subscription may be reassigned to a new user replacing a former user who no longer requires access. Customer may not resell, sublicense, or make the application available to any third party except users identified under its Schedule.
3. Subscription Term and Renewal
Unless the License Schedule states otherwise, the subscription term is 12 months from the Schedule effective date and automatically renews for successive 12 month periods unless either party gives written notice at least 90 days before the renewal date. License fees are invoiced monthly in advance of the month of use.
4. Activation and Staggered Starts
Licenses become activated closer to the go-live date, and start dates may be staggered as licenses are needed. The quantities on the License Schedule represent the estimated user levels at the time of signing. Billing for each line begins at activation of that line.
5. Adding Users
Customer can add licenses at any time by contacting its Legendary Sales Representative. Added licenses are documented by executing a new version of the License Schedule, are co-terminus with the renewal date, and are prorated for use in the current billing cycle.
6. Removing Users
All reductions for the next subscription period must be made at least 90 days before the renewal date by executing a new version of the License Schedule. There are no license refunds or credits for users removed during the current subscription period.
7. Salesforce Access Models
Each line on a License Schedule identifies the Salesforce org it applies to and one of two Salesforce Models. The model determines which Salesforce terms page governs that line.
a. OEM Embedded. Platform access is provided through Legendary embedded subscriptions included in the line. These lines are governed by the Legendary SFDC OEM Terms (/legal/sfdc-oem-terms/) in addition to these License Terms. Embedded line items are non-cancelable for each 12 month subscription term.
b. ISV Shared. Customer maintains its own active Salesforce subscriptions in the identified org, purchased directly from Salesforce or another Salesforce partner. Legendary provides no Salesforce access or licenses under these lines. These lines are governed by the Legendary SFDC ISV Terms (/legal/sfdc-isv-terms/) in addition to these License Terms. If Customer's Salesforce subscriptions in the org lapse or are suspended, the Legendary application in that org is unavailable for the duration and fees remain due.
8. Suspension
Legendary may deny access to the application for nonpayment as described in the Master Terms. Suspension does not relieve Customer of fees due for the subscription term.
9. Support and Updates
Subscriptions include access to the then-current generally available release of the application and standard support during Legendary's normal business hours. Legendary may improve or change the application, and will not materially decrease its overall functionality during a subscription term.
