Legendary Tipalti Terms

1. Applicability

These terms apply when a Payments Schedule or order document cites this page. They govern the relationship among Customer, Legendary, and Tipalti with respect to the Tipalti payment services used by Legendary Payments. The Legendary Payments Terms also apply.

2. Customer's Tipalti Order Form

Customer contracts directly with Tipalti by executing its own Tipalti Order Form. Customer's Tipalti Order Form, together with Tipalti's terms of service referenced in it, governs the Tipalti services provided to Customer, including transaction fees and the applicable rate card. In the event of any difference between rates referenced elsewhere and Customer's Tipalti Order Form, Customer's Tipalti Order Form governs.

3. Onboarding

Customer will complete Tipalti onboarding promptly, including providing the business, banking, and identity verification information Tipalti requires. Legendary Payments processing functions cannot activate until onboarding is complete. Completing onboarding within Tipalti's published rebate window may qualify Customer or Legendary for onboarding incentives where offered; incentives are governed by Tipalti's then-current program terms.

4. Account Management Authorization

Customer authorizes Legendary to manage Customer's Tipalti account as a service provider, including configuring the account, managing payee records, and issuing payment instructions on Customer's behalf as directed by Customer through the Legendary Payments application. Customer may revoke this authorization by written notice; revocation suspends the managed functions of Legendary Payments until an alternative administration arrangement is in place, and fees remain due.

5. Credentials and Security

Customer is responsible for safeguarding credentials issued to its personnel for the Legendary Payments application and the Tipalti portal, and for all activity under those credentials. Customer will promptly notify Legendary of any suspected compromise.

6. Tipalti Service Changes

Tipalti may change its services, terms, and fees under its agreements. Changes to Tipalti's fees to Legendary may be reflected in the Tipalti subscription recovery item at renewal as described in the Legendary Payments Terms. Changes to transaction fees flow through Customer's own Tipalti Order Form.

7. Role Clarification

Tipalti, not Legendary, performs payment processing, funds movement, payee identity verification, and related regulated activities. Legendary is a software provider and account administrator and is not a bank, money transmitter, or money services business.
